Description

  • Lead the legal lifecycle of approximately 5 acquisitions per year and drive transactions through closing.
  • Own purchase and sale agreements and manage local counsel across Europe and North America.
  • Develop AI-driven due diligence processes to review SaaS contracts and map liabilities at scale.
  • Build and oversee AI-supported tax structuring work, including deal structure modeling and transfer pricing support.
  • Manage the company’s $100M debt facility, including drawdowns, covenant compliance, and lender relations.
  • Oversee legal and compliance matters for a 400-person global workforce across employees, contractors, and employer-of-record arrangements.
  • Manage and scale the global Stock Appreciation Rights program.
  • Design and implement internal legal operations tools and workflows to handle routine team questions and recurring matters.
  • Own the budget and implementation of legal tech systems, including entity management, contract lifecycle management, and tax research tools.
  • Act as a strategic buyer of outside legal and tax services, using AI to validate work and limit external support to high-level review.

Requirements

  • 6–10 years of experience, likely from a top-tier private equity or M&A practice.
  • JD required; LLM required.
  • Experience operating in M&A and cross-border transaction environments.
  • Comfort working with AI tools and prompt-engineering workflows.
  • Ability to build a no-code legal operations stack.
  • Understanding of international tax concepts, including tax treaties, transfer pricing, and permanent establishment risk.
  • Ability to know when to involve tax specialists for final review and stress testing.
  • Operational mindset focused on deal velocity and quantitative risk assessment.
  • Experience working across multi-jurisdictional environments, ideally in North America and Europe.
  • Preferred: experience with SaaS, entity management, CLM systems, or AI-enabled legal operations.
