Description

  • Lead U.S. securities law compliance and public company disclosure, including drafting and reviewing SEC filings and Section 16 reports.
  • Advise on disclosure strategy, including materiality, risk factors, forward-looking statements, and consistency across external communications.
  • Partner with Finance and Investor Relations to manage the earnings-cycle process and related materials.
  • Support disclosure controls and procedures, including process improvements and cross-functional coordination.
  • Lead annual meeting and proxy matters, including disclosure drafting, shareholder proposals, and stakeholder engagement.
  • Own insider trading compliance, including policies, training, trading windows, and Rule 10b5-1 administration.
  • Provide legal support for capital markets activities, including share repurchase programs and debt matters.
  • Advise on treasury-related matters, including credit facilities and bank account governance.
  • Lead M&A matters across the deal lifecycle and support corporate development projects.
  • Support corporate governance, board and committee processes, subsidiary governance, equity administration compliance, and sustainability-related disclosures.
  • Manage and develop a small legal team, including coaching, prioritization, process standardization, and stakeholder management.

Requirements

  • J.D. from an accredited law school.
  • Active U.S. bar membership in good standing.
  • 12+ years of relevant experience in a law firm and/or in-house legal department.
  • Substantial corporate and securities experience supporting a public company.
  • Strong knowledge of U.S. securities laws, SEC reporting, corporate governance, and disclosure controls and procedures.
  • Experience supporting M&A and capital markets transactions in a public company environment.
  • Experience with equity program support at scale, including global equity administration, insider trading compliance, and Section 16 processes.
  • Excellent drafting, editing, communication, and judgment skills.
  • Ability to lead complex, cross-functional workstreams and manage multiple priorities under deadline.
  • People leadership experience, including managing and mentoring a small team.
  • Ability to use AI to improve speed and quality in day-to-day workflow.
  • Preferred: experience advising C-suite executives and other senior leaders.
  • Preferred: demonstrated ability to work with AI tools in relevant outputs.

Benefits

  • Base salary range of $210,161 to $432,684 USD for U.S.-based applicants.
  • Eligible for equity.
  • Remote-friendly role with in-office collaboration only 1-2 times every 6 months.
  • Preference for candidates in Pacific Time Zone locations, including San Francisco, Seattle, or Los Angeles.
  • Relocation assistance is not provided for this role.
