Description

  • Draft, review, and negotiate commercial contracts, including client agreements, MSAs, SOWs, NDAs, vendor agreements, and subcontracting arrangements.
  • Own and maintain the company’s contract template library and standard legal documentation.
  • Serve as the internal point of contact for GDPR and data protection matters and coordinate with the external DPO when needed.
  • Advise on public sector and defence-adjacent regulatory requirements, including export control and security-related contractual obligations.
  • Manage external legal counsel relationships by scoping matters, briefing counsel, and quality-controlling outside advice.
  • Support corporate governance across group entities, including shareholder matters, intercompany agreements, and subsidiary structuring questions.
  • Advise on IT, software, employment, and regulatory legal issues across the business.
  • Partner with founders and leadership on building legal infrastructure from the ground up.
  • Handle day-to-day employment-related legal matters as needed.

Requirements

  • Fully qualified lawyer in Germany with completed First and Second State Examinations (Erstes und Zweites Staatsexamen).
  • Admission to the German bar (zugelassene/r Rechtsanwalt / Rechtsanwältin).
  • 4+ years of post-qualification legal experience in-house and/or in private practice.
  • Strong experience drafting, reviewing, and negotiating commercial B2B contracts, especially in IT and software law.
  • Experience with software licensing, SaaS agreements, and IP-related clauses.
  • Solid knowledge of German employment law and day-to-day employment advisory work.
  • Practical experience with GDPR and data protection compliance, including data processing agreements and data subject requests.
  • Prior experience working at a large law firm.
  • Pragmatic, business-oriented mindset with strong communication and stakeholder management skills.
  • Full professional fluency in German and English, including contract drafting and advising in both languages.
  • Experience advising on public sector contracts or framework agreements such as EVB-IT or VOL/A, preferred.
  • Familiarity with export control law, Dual-Use Regulation, or SÜG-related requirements, preferred.
  • Prior in-house experience at a tech startup or scale-up, preferred.
