Description

  • Advise the CEO, CFO, and Board of Directors on legal matters across the business.
  • Draft, review, and negotiate commercial agreements, including MSAs, SaaS agreements, SOWs, NDAs, DPAs, vendor agreements, and partnership agreements.
  • Partner with Sales, Customer Success, and Finance to move customer contracts from review through execution.
  • Develop negotiation positions and escalation guidelines that balance legal risk, commercial objectives, and speed to close.
  • Improve contracting processes, templates, approval thresholds, and contract lifecycle management with Finance and Sales leadership.
  • Manage privacy and cybersecurity policies and practices in partnership with Information Security.
  • Review vendor and technology-provider agreements and support Procurement in assessing contractual and commercial risk.
  • Lead legal due diligence and advise on mergers, acquisitions, and financing activities.
  • Collaborate with HR on labor and employment law compliance and manage insurance policies and renewals.
  • Oversee outside counsel, intellectual property matters, legal compliance risks, and legal-function scaling initiatives.

Requirements

  • Juris Doctor (J.D.) from an accredited U.S. law school and active good standing with a state bar in any jurisdiction.
  • 5+ years of legal experience in a law firm or in-house role, including progressive legal operations experience.
  • 3+ years of experience drafting, reviewing, and negotiating commercial contracts in a sophisticated environment.
  • Experience advising high-growth software companies, preferably in a SaaS environment.
  • Knowledge of commercial law, software licensing, professional services arrangements, intellectual property, and privacy law.
  • Experience managing privacy and cybersecurity policies.
  • Experience with one or more of employment law, procurement, patents, insurance, corporate finance, or corporate governance.
  • Strong commercial-contract negotiation, drafting, analytical, and management skills.
  • Excellent written, verbal, interpersonal, and cross-functional leadership skills.
  • Strong business acumen, attention to detail, and ability to provide pragmatic legal guidance.
