Description

  • Review, redline, and negotiate customer, vendor, and supplier agreements, including service agreements, NDAs, and teaming agreements.
  • Draft and negotiate amendments, extensions, and renewals while applying approved playbook positions.
  • Create and maintain Nooks’ commercial contract playbook, templates, standard positions, fallback positions, and walk-away positions.
  • Escalate material terms to the VP of Growth with clear recommendations and execute outside counsel’s legal direction.
  • Train the Growth team on contract positions so routine terms can be resolved earlier in the sales process.
  • Prepare contract terms, exceptions, representations, and certifications for proposals.
  • Maintain complete contract records, approvals, executed versions, key dates, and renewal triggers in a CLM system or structured repository.
  • Track and report contract cycle times and playbook deviations, identifying causes of deal delays.
  • Collaborate with Growth, Legal, Government delivery, customer legal teams, and procurement teams.
  • Travel occasionally for company events and selected customer negotiations.

Requirements

  • 5+ years of independent experience reviewing, redlining, and negotiating commercial agreements.
  • Working knowledge of liability limits, indemnification, insurance, termination, service levels, and payment terms.
  • Experience negotiating directly with customer legal and procurement teams while maintaining positions and advancing deals.
  • Ability to translate business requirements into clear contractual terms.
  • Experience drafting or maintaining contract templates or playbooks with standard and fallback positions.
  • Strong plain-language writing skills and ability to explain contract risk to non-lawyers.
  • Ability to work independently and coordinate with Legal, Growth, and Government delivery functions.
  • J.D. or paralegal certification preferred.
  • Experience contracting with defense contractors or other cleared-industry customers preferred.
  • Experience managing contracts through a CLM system or structured contract repository preferred.
  • United States work authorization required; active security clearance preferred but not required.
