Description

  • Manage corporate governance processes for U.S. and international entities.
  • Coordinate and prepare board and committee meeting materials, resolutions, minutes, and written consents.
  • Maintain corporate records, minute books, and entity management systems.
  • Serve as primary administrator for equity compensation programs, including stock options and RSUs.
  • Manage cap table integrity and oversee equity platform administration.
  • Coordinate option grants, exercises, vesting events, and terminations.
  • Own and manage the legal eBilling system and matter management platform.
  • Review, audit, and approve outside counsel invoices in line with billing guidelines.
  • Coordinate the Legal Department’s annual budgeting process and maintain forecasts and monthly variance analyses.
  • Coordinate workstreams between attorneys and internal clients and manage law firm/vendor relationships.

Requirements

  • 5+ years of experience in legal operations, corporate governance, and/or law firm management.
  • Direct experience with equity administration and cap table management required.
  • Experience managing legal eBilling systems and vendor invoicing processes.
  • Strong financial acumen and experience managing departmental budgets.
  • Familiarity with corporate governance requirements, board processes, and preparing resolutions.
  • High attention to detail and strong organizational skills.
  • Ability to manage multiple priorities in a fast-paced, dynamic environment.
  • Strong written and verbal communication skills.
  • Ability to provide crisp, practical advice and synthesize complex issues succinctly and effectively.
  • Experience in a high-growth company environment preferred.
  • Familiarity with equity platforms such as Carta or Shareworks preferred.
  • Familiarity with eBilling platforms such as SimpleLegal or Brightflag preferred.
  • Experience working with auditors and supporting financial reporting preferred.
  • Project management certification or experience leading operational initiatives preferred.
