Description

  • Draft, review, revise, and negotiate customer and vendor agreements, including order forms, subscription agreements, technology agreements, statements of work, amendments, and NDAs.
  • Identify legal, financial, operational, and business risks; recommend practical responses and escalate significant or unusual issues.
  • Collaborate with cross-functional teams to structure contractual terms, review transaction documents, and facilitate contract execution.
  • Draft and review RFPs and responses, and perform quality assurance on contracts and legal documents.
  • Apply and refine contract templates, standard provisions, and legal playbooks while maintaining organized contract records and workflows.
  • Research and address matters involving corporate governance, employment law, intellectual property, regulatory compliance, insurance, risk management, and data privacy.
  • Work with outside legal specialists when needed and contribute to legal initiatives and special projects.
  • Use AI thoughtfully to streamline legal work and improve legal output.

Requirements

  • Juris Doctor degree and active bar admission in good standing in any U.S. state.
  • 5+ years of legal experience.
  • Strong contract drafting, review, and negotiation skills.
  • Sound legal and business judgment, including the ability to identify risk and determine when escalation is appropriate.
  • Excellent attention to detail and ability to produce accurate, polished work.
  • Intellectual curiosity and comfort addressing unfamiliar legal issues.
  • Strong organizational skills and ability to manage multiple agreements, projects, and deadlines.
  • Clear communication skills, including the ability to explain legal issues to non-lawyers.
  • Proficiency with Google Workspace and Adobe Acrobat Pro, with comfort working in a Mac-based environment.
  • Successful completion of a skills-based contract review assessment during the interview process.
