Description

  • Draft, review, and negotiate SaaS agreements, licensing deals, partnership agreements, and vendor contracts.
  • Review and negotiate enterprise customer agreements to support and accelerate sales deals.
  • Oversee employment matters including offer letters, separation agreements, equity grants, and day-to-day employment questions.
  • Manage trademark and patent matters in partnership with outside counsel.
  • Own privacy and data protection work, including DPAs, data subject requests, and cross-border data transfer requirements.
  • Advise product and engineering teams on AI and product legal issues, including model licensing, training data usage, generated content rights, and emerging AI regulations.
  • Track and support compliance across SOC 2, GDPR, CCPA, and related regulatory obligations.
  • Monitor regulatory developments affecting AI/ML products, surface risks to leadership, and coordinate cross-functional responses.
  • Support corporate governance matters such as board minutes, equity plan administration, and consent actions.
  • Manage outside counsel for complex matters and oversee scope and spend.
  • Build scalable legal processes, templates, playbooks, intake workflows, and a contract lifecycle management system from scratch.

Requirements

  • JD from an accredited law school and active membership in the California Bar, or ability to waive in.
  • 7-10 years of legal experience, including at least 2-3 years in-house at a technology or SaaS company.
  • Experience at a law firm, such as BigLaw or a strong mid-market firm, plus in-house experience.
  • Strong commercial contracts experience with the ability to run deals end-to-end without supervision.
  • Working knowledge of employment law, with California experience required and multi-state experience a plus.
  • Familiarity with IP fundamentals, including trademarks and patents, and privacy/data protection topics such as DPAs, GDPR, and SOC 2.
  • Experience building or maintaining a compliance program, such as SOC 2, privacy frameworks, or similar.
  • Comfort operating as a solo legal practitioner while using outside counsel as a resource.
  • Pragmatic judgment and the ability to know when to push back and when to move fast.
  • Familiarity with enterprise sales contracts and procurement processes, preferred.
  • M&A due diligence experience, even if not leading transactions, preferred.
  • Experience at a company of similar stage, such as Series C-D and 100-500 employees, preferred.
