Description

  • Own Finance workstreams across post-close integrations and separations, including P&L, balance sheet, cash flow, and working capital.
  • Lead complex integration engagements and translate investment theses into cross-functional execution plans.
  • Build target operating models and redesign processes for post-close and NewCo operations.
  • Drive Day 1 readiness, integration management office activities, and program governance.
  • Lead end-to-end separation, carve-out, and divestiture engagements, including NewCo stand-up.
  • Conduct functional separation planning, entanglement analysis, legal entity separation, IT and data separation, and employee and customer migrations.
  • Structure, negotiate, and manage TSAs and reverse TSAs, including scope, pricing, service levels, and exit planning.
  • Communicate integration and separation progress to C-suite executives, sponsors, deal teams, and third parties.
  • Develop client relationships, support proposals and business development, and contribute to account management.
  • Lead, mentor, coach, recruit, and retain junior team members.

Requirements

  • 7+ years of experience in professional services or in-house M&A/integration leadership at a PE-backed company.
  • Direct experience with M&A integrations, carve-outs, and divestitures.
  • Experience preparing and reviewing standalone cost models for carve-out transactions.
  • Hands-on experience structuring and managing TSAs from inception through exit planning.
  • Experience advising and presenting to PE sponsors, CFOs, boards, and deal teams.
  • Track record of completing large-scale transformation projects.
  • Experience mentoring and developing junior talent.
  • Bachelor’s degree in Business, Economics, Engineering, Finance, Information Systems, or a similar technical discipline.
  • CPA or CA credential strongly preferred.
  • Ability to responsibly use firm-approved AI tools and learn emerging technologies in accordance with firm policies and client standards.
  • Willingness to travel to client sites as needed within a hybrid delivery model.
