Description

  • Review, draft, and revise business agreements and contracts.
  • Assist with corporate transactional matters and general business legal needs.
  • Review vendor agreements, service agreements, operating agreements, partnership agreements, NDAs, independent contractor agreements, and other commercial contracts.
  • Provide practical legal guidance and issue spotting for a growing business.
  • Assist with negotiations and contract modifications as needed.
  • Work directly with the business owner in a professional and responsive manner.
  • Manage matters from review and due diligence through drafting and closing.

Requirements

  • Licensed and in good standing with the New York State Bar.
  • 2+ years of experience in corporate or business transactional law.
  • Strong experience drafting and negotiating agreements.
  • Experience with mergers and acquisitions, private equity transactions, joint ventures, and corporate governance matters is a plus.
  • Ability to manage matters from review and due diligence through drafting and closing.
  • Excellent attention to detail and strong organizational skills.
  • Strong written and verbal communication skills.
  • Ability to work independently and meet deadlines in a remote environment.
  • Comfort working on a per diem, contract-based, flexible schedule.
  • Remote work capability, with Manhattan-based business context.
