Description

  • Own the full contract lifecycle for customer and vendor agreements from initial draft through signature and system integration.
  • Draft, negotiate, redline, and execute customer, supplier, and partnership agreements.
  • Negotiate pharma and biopharma collaboration agreements, clinical trial services agreements, and data licensing agreements.
  • Lead negotiations for SaaS, platform subscription, device supply, and health system partnership agreements.
  • Support commercialization of FDA-cleared devices by structuring supply, distribution, reseller, and quality/regulatory terms.
  • Negotiate and manage supplier and vendor contracts, including HIPAA business associate agreements.
  • Advise on data rights, including ownership, licensing scope, and secondary-use restrictions for clinical data.
  • Flag privacy issues in contracts and escalate legal matters to the General Counsel.
  • Develop and improve contract templates, playbooks, and negotiation positions.
  • Manage the contract repository, including renewals, milestones, and expirations.

Requirements

  • 5–8+ years of experience negotiating commercial agreements in-house, at a law firm, or in a paralegal/contracts role.
  • Experience independently negotiating customer-facing commercial agreements from first draft to signature.
  • Strong understanding of data rights, including ownership, license scope, and use restrictions.
  • Working familiarity with HIPAA and GDPR issues in commercial contracts.
  • Excellent contract drafting skills and clear, plain-English negotiation style.
  • Ability to work independently in a lean legal function and report directly to the General Counsel.
  • Must be based in the continental United States.
  • Paralegal certification or contracts management credential (preferred).
  • Experience in life sciences, pharma/biopharma, medical devices, or digital health (preferred).
  • Experience with CLM tools such as Ironclad, RWD/RWE licensing, clinical trial agreements, CRO-style services, or FDA medical device regulatory considerations (preferred).
