Description

  • Serve as a strategic legal advisor to principals and founders on legal and regulatory matters affecting alternative asset firms and family offices.
  • Oversee securities law and regulatory compliance across applicable federal, state, and industry regulators.
  • Lead fund formation and structuring, including drafting and negotiating offering and formation documents.
  • Negotiate investor terms and side letters for institutional and high-net-worth clients.
  • Draft and negotiate investment management agreements and separate account arrangements.
  • Advise on investment transactions, complex deal structuring, and cross-border matters.
  • Manage outside counsel relationships, legal budgets, and specialized legal workstreams.
  • Develop corporate governance frameworks, policies, procedures, and entity records.
  • Review and negotiate vendor and service provider agreements.
  • Support litigation, regulatory examinations, investigations, and discovery responses.

Requirements

  • Bachelor’s degree in Law, Finance, Business Administration, or a related field.
  • Juris Doctor or equivalent law degree.
  • Member in good standing of the bar in one or more U.S. states.
  • 12+ years of experience as Chief Legal Counsel or General Counsel with a leading hedge fund or family office.
  • 8+ years of experience with federal securities laws and related federal, state, and local regulations.
  • Experience with the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934.
  • Extensive experience with multiple investment vehicles, security types, asset classes, jurisdictions, and regulatory agencies in the U.S. and abroad.
  • Excellent oral and written communication skills with sound judgment and discretion.
  • Experience serving as the primary contact for legal and compliance-related inquiries.
  • Ability to identify process improvements and mitigate risk across legal and compliance functions.
