Description

  • Own commercial contracting for client, law firm, vendor, supplier, NDA, BAA, and SaaS/technology agreements, including building templates for faster turnarounds.
  • Manage recurring financing and commercial financing matters end-to-end, and support the CFO on larger credit facilities and capital markets work.
  • Review term sheets and loan agreements and refine redlines before documents go back to outside counsel.
  • Lead employment and HR legal matters, including policies, offer and separation documents, restrictive covenants, and day-to-day employment issues.
  • Partner with HR leadership and serve as the internal lead with outside employment counsel on complex matters.
  • Build corporate governance processes and become the internal point of reference for operating agreement, shareholder agreement, and cap table issues.
  • Support entity structure maintenance and board/resolution matters.
  • Handle basic intellectual property and trademark protection for technology products.
  • Manage all outside counsel relationships, including scoping, spend oversight, consolidation, and transition of routine work in-house.
  • Stand up templates, processes, and playbooks for the company’s in-house legal function.

Requirements

  • Approximately 4–7 years of corporate legal experience, ideally from an AmLaw 100 firm or similarly rigorous environment.
  • J.D. and active bar membership in good standing.
  • Corporate, finance, or transactional background with direct drafting and negotiation experience on financing and commercial agreements.
  • Prior experience at a private-equity-backed company.
  • M&A transaction experience.
  • Strong corporate fundamentals and the ability to operate as a generalist across contracts, employment, and governance.
  • Judgment to know when to handle matters directly versus involving the CFO or outside counsel.
  • Bias toward action and fast turnaround, with effort matched to the stakes.
  • Comfort working as the only in-house lawyer with outside counsel support.
  • Pragmatic, business-first mindset focused on practical solutions.
  • Genuine interest in an in-house generalist role and a sustainable pace.
  • Must be authorized to work in the United States without employer-sponsored visa support now or in the future.
