Description

  • Advise the company on corporate and securities law matters.
  • Support public company reporting obligations and prepare corporate and securities filings.
  • Prepare and maintain corporate governance materials, including board resolutions and stockholder-related documents.
  • Support equity incentive plan matters in partnership with the Finance team.
  • Review and draft inbound and outbound corporate and commercial agreements.
  • Provide legal counsel for new business and product initiatives.
  • Collaborate with Legal and cross-functional teams on projects and business issues.
  • Work directly with business partners to assess needs, goals, and legal risks.
  • Interface with outside counsel when necessary or appropriate.
  • Monitor developments in securities laws, regulatory requirements, and market practices.
  • Take ownership of projects and learn new subject matter areas as business needs evolve.

Requirements

  • 3-6 years of legal experience, including at least 2 years at a leading national law firm.
  • Prior in-house experience is helpful but not required.
  • Experience with public company filings, reporting obligations, and governance.
  • Familiarity with general corporate, securities, and commercial transactional work.
  • Familiarity with privacy issues is helpful but not required.
  • Experience advising clients in a regulated financial industry is helpful, such as investment adviser, broker-dealer, mortgage, banking, or money transmitter businesses.
  • Prior experience reviewing marketing or sales materials is helpful but not required.
  • Ability to work in a fast-paced, collaborative environment.
  • Keen attention to detail, strong follow-through, and the ability to identify and analyze complex legal issues.
  • Ability to assess and communicate risk clearly and provide practical recommendations.
  • Ability to spot and address cross-functional legal issues and support stakeholders at all levels.
  • Strong drafting, writing, and communication skills.
  • Willingness to take ownership of a range of projects and learn applicable regulatory schemes as needed.
  • California Bar membership or eligibility to practice as California Registered In-House Counsel.
  • Strong interest in Wealthfront, its products, and fintech generally.
  • Agility, creativity, patience, diplomacy, and a sense of humor are essential.
