Description

  • Own data center transactions from structuring through execution, including letters of intent, master services agreements, order forms, and related agreements.
  • Draft and negotiate data center capacity leases, colocation agreements, design/build contracts, and facilities and operations-and-maintenance agreements.
  • Lead procurement agreements for GPUs, integrated server systems, network equipment, power equipment, and other compute hardware.
  • Advise cross-functional teams on deal structure, risk allocation, supplier assessments, performance issues, and remediation.
  • Support international expansion by adapting agreements for new jurisdictions and coordinating with local counsel.
  • Develop scalable templates, playbooks, fallback positions, and approval matrices.
  • Support other high-priority commercial and operational matters for a lean legal department.

Requirements

  • Approximately 6–8+ years of legal experience, including meaningful in-house experience with data centers or comparable large-scale infrastructure projects.
  • Direct experience negotiating data center agreements from a developer, provider, or tenant perspective.
  • Experience with single-tenant or colocation transactions involving modified-gross, triple-net, or similar lease structures.
  • Experience negotiating facilities and operations-and-maintenance agreements, including terms for service levels, maintenance windows, security, audit rights, change control, and service credits.
  • Strong foundation in technology and infrastructure transactions, with the ability to translate technical requirements into practical legal and commercial frameworks.
  • J.D. from an accredited law school and active admission to at least one U.S. state bar.
  • Ability to independently lead multiple complex projects, exercise business judgment, and provide practical advice under tight timelines.
  • Collaborative approach with strong communication and problem-solving skills.
  • Preferred: Experience with enterprise data center leases, tax incentives, financing structures, international procurement, trade compliance, or supply-chain risk.
  • Preferred: Experience with power contracts, site-selection diligence, zoning, or permitting.

Benefits

  • Fully remote position within the United States.
  • $255,000–$290,000 base salary.
  • 20% target annual bonus.
  • Equity compensation.
