Description

  • Develop and oversee the corporate governance function in partnership with the Chief Legal Officer.
  • Create and manage board and committee calendars, annual governance work plans, and agenda-setting processes.
  • Coordinate board and committee materials and ensure they are executive-ready and delivered on time.
  • Serve as Assistant Corporate Secretary by drafting and reviewing board resolutions and minutes.
  • Lead planning and execution of annual stockholder and governance meetings.
  • Own the integrity of corporate records and oversee subsidiary governance and compliance.
  • Draft and file timely SEC reports and disclosures, including 10-K, 10-Q, 8-K, proxy statements, and Section 16 forms.
  • Support CSR/ESG initiatives, related-party transaction monitoring, insider trading compliance, and 10b5-1/pre-clearance processes.
  • Draft and maintain governance-related policies, including bylaws, committee charters, code of conduct, and corporate charters.
  • Advise the CLO and broader organization on governance implications of strategic decisions and corporate transactions.

Requirements

  • J.D. from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 15+ years of total experience.
  • 5+ years of experience in corporate and securities law, including public company reporting experience.
  • Prior public company in-house legal experience.
  • Strong understanding of SEC regulations, Sarbanes-Oxley, listing exchange rules, and corporate governance standards.
  • Excellent business partnering skills with a bias toward action.
  • Ability to operate effectively under tight timelines and a high-volume workload.
  • Outstanding organizational skills with meticulous attention to detail.
  • Excellent written and verbal communication skills with the ability to explain complex issues clearly.
  • Ability to work both in the details and at a strategic level.
  • Experience working on a diverse, cross-functional legal team.

Benefits

  • Remote work location.
  • Annual salary of $275,000 to $403,500.
  • Bonus pay included.
