Description

  • Lead the company’s commercial contracting function, including drafting, reviewing, and negotiating SaaS and related agreements.
  • Provide practical guidance on legal, regulatory, and contractual risk while balancing business objectives.
  • Oversee compliance with data protection, privacy, and information security requirements in client and vendor relationships.
  • Develop and refine privacy and AI governance policies, standards, and training across the organization.
  • Own and improve contract templates, fallback positions, and clause libraries for SaaS and government contracting matters.
  • Create and maintain contracting playbooks that support consistent, scalable negotiation and escalation.
  • Partner with internal stakeholders to implement and improve contract lifecycle management and AI-enabled legal tools.
  • Contribute to broader legal operations initiatives, including intake processes, KPIs, and self-service resources.
  • Serve as a generalist in-house counsel supporting company-wide legal questions, especially commercial contracts.
  • Support employment, corporate governance, dispute resolution, and strategic transaction work in partnership with internal teams and outside counsel.

Requirements

  • Juris Doctor (JD) from an ABA-accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 4-7 years of post-JD experience.
  • At least 3 years of in-house experience strongly preferred.
  • Experience drafting and negotiating technology-focused commercial agreements.
  • Experience handling data and privacy issues in contracts.
  • Comfort managing a high volume of concurrent matters with limited oversight.
  • Excellent written and verbal communication skills, including the ability to explain complex legal concepts to senior stakeholders.
  • High level of personal integrity, judgment, and discretion.
  • Familiarity with legal AI tools and interest in building OpenClaw assistants (vibe coding, AI orchestration engineering).
  • Experience with SaaS and GovTech, including state or local government customers, public procurement, and RFP processes is especially valuable.
  • Experience in FinTech, payments, or other highly regulated technology domains is especially valuable.
  • Familiarity with government contract requirements and how they affect commercial terms, risk allocation, and compliance is especially valuable.
  • Practical experience with privacy programs, data protection impact assessments, or similar frameworks is especially valuable.
  • Exposure to AI governance, including internal policies, vendor diligence, or risk assessments, is especially valuable.
  • Hands-on experience with contract lifecycle management (CLM) systems and AI-assisted legal tools is especially valuable.
  • Experience designing legal processes, playbooks, or metrics to improve small-team legal operations is especially valuable.
