Description

  • Prepare and file SEC reports and disclosures, including 10-Ks, 10-Qs, proxy statements, 8-Ks, Section 16 filings, and other required submissions.
  • Ensure compliance with New York Stock Exchange rules and regulations.
  • Own subsidiary management globally and coordinate execution with the senior corporate paralegal and key stakeholders.
  • Support climate and sustainability reporting efforts.
  • Prepare materials for Board and Committee meetings, including agendas, governance documents, resolutions, minutes, and Diligent board books.
  • Maintain corporate governance materials such as policies, charters, and related research.
  • Analyze corporate governance issues, provide advice, and monitor industry precedents and emerging trends.
  • Anticipate changes in laws and regulations and develop and implement recommended actions.
  • Partner with legal, finance, investor relations, HR, stock, and compensation teams on intercompany matters, tax, treasury, equity, corporate finance, M&A, and other strategic initiatives.
  • Manage insider trading policy administration and 10b5-1 trading plan compliance.
  • Oversee public company matters including annual shareholder meeting logistics, director and officer questionnaires, related party transactions, and compliance calendars.
  • Ensure accurate Institutional Shareholder Services reporting and work to improve related scoring.

Requirements

  • Juris Doctor degree.
  • 3-5 years of corporate law experience in a law firm and/or in-house role.
  • Experience working in a distributed, globally remote environment.
  • Ability to manage time independently and handle overlapping deadlines.
  • Comfort with ambiguity, rapidly shifting priorities, and occasional work outside traditional hours.
  • Strong judgment, interpersonal skills, and communication skills.
  • Tech-savvy and able to learn quickly, including effective use of AI and other technology tools.
  • Strong organizational skills, detail orientation, and commitment.
  • Solid strategic thinking and problem-solving abilities.
  • Ability to prioritize work and drive results.
  • Exemplary work ethic.

Benefits

  • Base salary only, with no variable compensation component.
  • Typical starting salary range of $128,200-$202,700 USD.
  • Alternate starting salary range of $153,800-$243,300 USD in select locations including Seattle, Los Angeles, the San Francisco Bay Area, and the New York City metro area.
  • Eligibility to participate in Elastic's stock program.
  • Company-matched 401(k) with dollar-for-dollar matching up to 6% of eligible earnings.
