Description

  • Review, draft, negotiate and close ClickHouse’s customer contracts and commercial agreements in support of the go-to-market team.
  • Act as a solutions-oriented business partner to the Americas sales team by providing pragmatic, business-focused legal counsel and deal support.
  • Lead and manage complex cross-border transactions involving sophisticated counterparties across multiple jurisdictions.
  • Support partner and reseller programs by negotiating agreements with partners, resellers and other commercial counterparties.
  • Monitor and advise on regulatory, compliance, and legal developments affecting the Americas region and coordinate with the broader Legal and cross-functional teams as needed.
  • Provide training and enablement to internal stakeholders on legal issues, contract processes, and best practices.
  • Maintain, update and improve legal agreements, policies, and contract templates to create scalable workflows that enable rapid revenue growth and stability.
  • Support APAC commercial legal matters as the commercial legal function grows and as business needs require.

Requirements

  • Law degree and membership in good standing of at least one U.S. state bar.
  • Minimum 7 years of experience practicing both at a law firm and in-house at a high-growth technology company.
  • Exceptional academic or training background (e.g., law degree from a Top 30 school and/or experience at a top-tier technology law firm).
  • Located in the Pacific Time Zone.
  • Proven track record drafting, negotiating and closing complex commercial software and SaaS agreements with enterprise customers, partners, and resellers across multiple jurisdictions.
  • Strong understanding of commercial legal issues related to SaaS and software licensing, including data privacy, security, intellectual property, open-source, revenue recognition, tax, and professional services.
  • Excellent judgment and business orientation with the ability to translate legal risk into practical commercial advice aligned with business objectives.
  • Strong interpersonal, communication and stakeholder-management skills with the ability to build trust with sales, cross-functional teams, and customers.
  • Exceptional attention to detail, strong organizational skills, and ability to manage multiple priorities and meet deadlines in a high-growth environment.
  • Preferred: experience supporting a high-growth infrastructure SaaS company and international legal experience supporting APAC.
