Description

  • Serve as strategic legal advisor to principals and founders on legal, regulatory, securities, and corporate governance matters.
  • Oversee compliance with applicable securities laws and regulations, including SEC, FINRA, NFA/CFTC, ERISA/DOL, and state requirements.
  • Lead fund formation and structure private investment vehicles, including drafting and negotiating LPAs, LLC agreements, PPMs, subscription agreements, side letters, and offering materials.
  • Negotiate investor terms, side letters, most-favored-nation provisions, fee arrangements, and disclosures.
  • Draft and negotiate investment management agreements and separate-account arrangements for U.S. and non-U.S. clients.
  • Advise on investment transactions, including private equity, private credit, real estate, infrastructure, co-investment, secondary, and cross-border deals.
  • Manage outside counsel, legal budgets, litigation support, regulatory examinations, investigations, subpoenas, and discovery responses.
  • Establish governance frameworks and develop legal policies, compliance manuals, trading policies, investment guidelines, and disclosure documentation.
  • Review vendor and service-provider contracts and advise on employment, compensation, and labor matters.
  • Monitor regulatory developments, implement required changes, deliver legal training, and lead special projects such as fund launches, registrations, restructurings, and M&A.

Requirements

  • Bachelor’s degree in law, finance, business administration, or a related field.
  • Juris Doctor or equivalent law degree.
  • Active membership in good standing with the bar of one or more U.S. states.
  • 12+ years of experience as Chief Legal Counsel or General Counsel for a leading hedge fund or family office.
  • 8+ years of experience with federal securities laws and financial-services regulations at a hedge fund, investment management firm, family office, or law firm supporting U.S.-registered investment advisers.
  • Deep knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Exchange Act of 1933.
  • Extensive experience across investment vehicles, security types, asset classes, jurisdictions, and U.S. and international regulatory agencies.
  • Strong written and verbal communication skills, sound judgment, discretion, and experience serving as the primary legal and compliance contact.
  • Ability to identify and improve processes and manage legal and compliance risks.
