Description

  • Draft, review, redline, and negotiate customer agreements, including SaaS/subscription agreements, data use agreements, and business associate agreements.
  • Review and negotiate vendor, supplier, and third-party service agreements, including software licenses and data processing agreements.
  • Maintain contract templates, playbooks, and negotiation guardrails with the General Counsel.
  • Track contract obligations, renewal dates, and key terms and support contract lifecycle management processes.
  • Help build, maintain, and improve the corporate compliance program, including HIPAA/HITECH, privacy, security, and AI-related compliance.
  • Draft, revise, and implement internal policies and procedures for privacy, information security, data governance, AI governance, vendor management, and incident response.
  • Support policy rollout, training, compliance monitoring, internal audits, and risk assessments.
  • Assist with incident response and breach investigation and notification processes as needed.
  • Conduct legal research and monitor regulatory developments affecting healthcare, clinical data, health technology, and AI.
  • Provide day-to-day legal support across sales, product, engineering, HR, marketing, and other departments.

Requirements

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
  • Active license to practice law in good standing in at least one U.S. jurisdiction; Tennessee preferred.
  • Eligibility for in-house or registered in-house counsel status in the state of employment.
  • 1–4 years of relevant legal experience in a law firm, in-house legal department, or healthcare/technology regulatory environment.
  • Experience with HIPAA/HITECH and healthcare data privacy regulations preferred.
  • Experience drafting and negotiating commercial or SaaS agreements preferred.
  • Exposure to compliance program development or policy drafting preferred.
  • Familiarity with health technology, digital health, clinical data, or AI/machine learning legal and regulatory issues strongly preferred.
  • Strong legal research, writing, and analytical skills.
  • Excellent organization, discretion, professionalism, communication, and cross-functional collaboration skills.
  • Ability to manage multiple projects and deadlines independently.
  • Willingness to work in a small legal team and continuously learn in a fast-changing regulatory landscape.
  • Certified Information Privacy Professional (CIPP/US) or similar certification is a plus, or willingness to obtain it within a defined period.
  • Must already be authorized to work in the United States full-time and permanently without sponsorship.
  • Must successfully pass a background check and be eligible for access to sensitive information, including proprietary data and PHI.
