Description

  • Support contract drafting, review, redlining, and lifecycle management, including deadlines, obligations, and approvals.
  • Manage corporate governance materials such as board consents, resolutions, subsidiary records, and regulatory filings.
  • Coordinate execution of government and commercial agreements and maintain organized documentation repositories.
  • Conduct legal and factual research on procurement requirements, FAR/DFARS, regulatory updates, and compliance obligations.
  • Prepare, manage, and organize materials for audits, government inquiries, and compliance reviews related to CUI, cybersecurity, and export controls.
  • Support the development and implementation of internal processes, templates, and policy frameworks.
  • Assist with due diligence, financing activities, and board-related documentation.
  • Coordinate with outside counsel across litigation, IP, corporate, and regulatory matters.
  • Prepare presentations, reports, and summaries for executive leadership.

Requirements

  • 8–10+ years of paralegal experience in a law firm, corporate legal department, or government setting.
  • Active paralegal certification or degree, such as an ABA-approved paralegal certificate, associate’s or bachelor’s degree in paralegal studies, or equivalent.
  • Experience supporting legal work in a defense, aerospace, government, or government-adjacent environment.
  • Strong understanding of government contracting processes, FAR/DFARS, procurement workflows, and compliance obligations.
  • Excellent organizational skills and the ability to manage multiple competing priorities.
  • Exacting attention to detail, strong judgment, and excellent writing and communication skills.
  • Experience working with senior executives, technical teams, and external counsel.
  • Ability to thrive in a fast-moving environment and operate independently.
  • Experience with aerospace or defense contractors, federal programs, or regulated technology companies (preferred).
  • Familiarity with CUI handling, cybersecurity frameworks, and export control requirements (preferred).
  • Experience supporting financing transactions, IP matters, or litigation (preferred).
  • Proficiency with document-management systems, contract lifecycle management (CLM) tools, and collaboration platforms (preferred).
  • Must meet ITAR requirements, including U.S. citizen, lawful permanent resident, protected individual, or eligible to obtain required authorization.
