Description

  • Serve as legal advisor to TerrAscend and its management team on day-to-day commercial operations.
  • Negotiate and draft complex commercial agreements, including partnerships, joint ventures, licensing, supply, and service agreements.
  • Advise on legal issues affecting the company, including M&A, commercial contracts, intellectual property, employment law, and data privacy.
  • Assist with M&A transactions, including diligence and integration support.
  • Oversee commercial disputes and litigation from inception to conclusion, including budgeting, outside counsel management, legal holds, and document collection.
  • Provide practical advice on labor and employment matters, including union matters, negotiations, hiring, performance management, discipline, leaves of absence, and terminations.
  • Work with the securities team on public company filings and related requirements.
  • Identify, assess, and manage legal risks tied to business activities.
  • Advise on intellectual property and marketing compliance matters.
  • Develop and implement policies, procedures, and training to support compliance, including oversight of AI and contract management workflows and repositories.

Requirements

  • Juris Doctorate (J.D.) and active licensure in at least one U.S. jurisdiction.
  • 3-5 years of experience as a licensed attorney.
  • 1-3 years of experience in a corporate legal department in a regulated industry preferred.
  • Prior in-house experience and litigation experience preferred.
  • Familiarity with publicly traded company matters.
  • Familiarity with SEC filings and reporting requirements.
  • Familiarity with the Sarbanes-Oxley Act.
  • Excellent written and verbal communication skills.
  • Strong legal writing skills and close attention to detail.
  • Ability to prioritize, manage multiple projects, adapt to changing demands, and handle confidential information professionally.
