Description

  • Draft and negotiate agreements for quantum system sales, hardware purchases, cloud access, maintenance, support, and partnerships.
  • Negotiate supplier and procurement agreements covering fabrication, foundry relationships, equipment, components, SaaS, and facilities.
  • Structure R&D collaborations, joint development, sponsored research, and licensing transactions with the IP team.
  • Lead federal contracts, grants, cooperative agreements, subcontracts, and teaming arrangements with agencies including AFRL, DARPA, DOE, and national laboratories.
  • Advise on FAR, DFARS, cybersecurity, domestic sourcing, supply chain, data rights, and related government-contracting requirements.
  • Support international transactions through Rigetti’s global entities and coordinate with local counsel.
  • Create contract templates, playbooks, approval workflows, and tools to scale the legal function.
  • Train sales, business development, procurement, and program teams on contracting and government compliance.
  • Help shape the legal department’s growth, including future hiring, structure, leadership, and mentoring.

Requirements

  • J.D. degree and active membership in good standing in at least one U.S. state bar.
  • 7+ years of relevant legal experience, including meaningful in-house experience.
  • Track record negotiating complex commercial agreements, ideally in hardware, semiconductor, deep-tech, or enterprise technology.
  • Hands-on experience with federal contracts, including FAR/DFARS, subcontracting, and data rights.
  • Ability to build processes and structure in a fast-moving environment.
  • Strong business judgment and ability to communicate legal risk clearly to engineers and executives.
  • Law firm training combined with in-house experience preferred.
  • Experience with OTAs, CRADAs, SBIR/STTR, and cooperative agreements preferred.
  • Familiarity with EAR/ITAR, international transactions, and public company work preferred.
  • Curiosity about quantum technology preferred.
