Description

  • Build and own transaction valuation models, including DCF, comparable company, precedent transaction, and LBO scenarios.
  • Develop combined-entity pro forma P&L, balance sheet, and cash flow projections with normalization adjustments.
  • Manage financial diligence workstreams, coordinate with external advisors, and synthesize findings into actionable insights.
  • Partner with the FP&A team on pro forma modeling and QoE bridging.
  • Normalize EBITDA, distinguish one-time versus recurring items, analyze working capital, and validate management adjustments.
  • Model financing and capital structure scenarios under different deal cases.
  • Prepare investment memos and other materials for senior leadership review.
  • Support post-close integration performance tracking and reporting with the FP&A team.
  • Assist with financing and stakeholder reporting as needed.

Requirements

  • 4–7 years of experience in private equity, investment banking, transaction services, or corporate development at a sponsor-backed company.
  • Demonstrated experience with complex transaction modeling and financial diligence.
  • Advanced Excel modeling experience, including three-statement models, LBOs, accretion/dilution, and sources & uses.
  • Strong understanding of GAAP, adjusted EBITDA methodology, and quality-of-earnings concepts.
  • Excellent written communication skills with the ability to translate analysis into executive-ready materials.
  • Willingness to work overlapping US Eastern hours during active transaction phases.
  • CFA designation preferred.
  • Exposure to B2B SaaS or data services targets preferred.
  • Prior experience supporting US-based sponsors or sponsor-backed corporates preferred.
