Description

  • Independently draft, review, and negotiate a wide range of commercial agreements, including MSAs, SOWs, NDAs, DPAs, SaaS subscriptions, procurement contracts, and partner/customer agreements.
  • Make risk-calibrated decisions on contract terms with minimal escalation and determine when to accept, push back, or elevate issues.
  • Develop and maintain negotiation playbooks, fallback positions, risk thresholds, and approved alternative language.
  • Partner with cybersecurity, privacy, finance, product, engineering, marketing, sales, operations, and procurement on contract-related issues and business guidance.
  • Supervise, mentor, and review the work of at least one contract manager, with the opportunity to grow the team.
  • Serve as the escalation point for contract issues requiring legal judgment beyond the contract management team.
  • Own and optimize Ironclad CLM workflows, including template content, playbook positions, approval logic, and process improvements.
  • Identify bottlenecks in commercial contracting and build scalable self-service tools and intake processes.
  • Maintain and continuously improve contract templates, clause libraries, and precedent repositories.
  • Provide commercial legal support for light M&A-type transactions, strategic investments, partnerships, and related diligence and documentation.

Requirements

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 8+ years of commercial transactions experience.
  • Strong preference for meaningful in-house experience at a technology or SaaS company.
  • Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight.
  • Proven track record of advising senior business leaders and non-legal stakeholders on contractual risk.
  • Experience creating negotiation playbooks, clause libraries, and other scalable legal tools.
  • Experience working with procurement teams and cross-functional business partners, including finance, cybersecurity, and product/engineering.
  • Familiarity with contract lifecycle management platforms; Ironclad experience is a plus.
  • Working knowledge of intellectual property, data privacy, and cybersecurity concepts as they relate to commercial agreements.
  • Outstanding organizational skills, attention to detail, and ability to manage a high-volume workload.
  • Excellent written and verbal communication skills with the ability to tailor messaging for technical and executive audiences.
  • Experience working on diverse, cross-functional legal teams.
  • Preferred: experience in SaaS, marketing technology, or digital marketing.
  • Preferred: experience supporting M&A or other strategic transactions from a commercial contracts perspective.
  • Preferred: experience scaling contract operations in a high-growth environment.
  • Preferred: comfort working with globally distributed teams across time zones.
  • Preferred: experience managing or mentoring contract management professionals or legal support staff.
