Description

  • Build the legal framework for the Commercial (Projects & Supply Chain) function, including preferred structures, strategies, and form agreements.
  • Own the structuring, financing, and delivery of commercial projects, including SPV documents, loan agreements, security packages, IP licensing agreements, and EPC agreements.
  • Own the legal work for global procurement, including master services agreements, purchase orders, warehousing agreements, and related documents.
  • Partner with the sales team to support new project wins, including drafting responses to RFPs.
  • Work with regulatory teams to keep the commercial business compliant with applicable laws.
  • Manage outside counsel as needed.

Requirements

  • 6+ years of Biglaw and/or in-house legal experience.
  • Deep expertise in project financing and complex infrastructure project implementation.
  • Familiarity with commercial procurement for complex infrastructure projects.
  • Ability and desire to independently build the commercial division of the Legal department.
  • Willingness to handle substantive legal work directly to reduce outside counsel fees.
  • Juris Doctor (JD) from an accredited law school.
  • Active U.S. law license in good standing.
  • Experience in a Chambers-ranked Projects/Infrastructure practice (preferred).
  • Experience with projects in the Middle East or APAC regions (preferred).
  • Startup experience (preferred).
  • FOAK experience (preferred).
  • Experience with IP licensing structures and technology-related legal issues (preferred).
