Description

  • Support legal workstreams for the announced business combination and transition to public company status.
  • Design and implement SEC reporting, disclosure, insider trading, Section 16, board committee, and governance processes.
  • Prepare, review, and file SEC reports, proxy statements, registration statements, and other securities filings.
  • Review earnings announcements, investor presentations, press releases, scripts, and related communications.
  • Monitor securities laws, SEC guidance, stock exchange requirements, proxy guidance, and governance developments.
  • Support Section 16 reporting, trading windows, blackout periods, pre-clearance, and Rule 10b5-1 plan administration.
  • Advise the Board, committees, senior management, and internal stakeholders on corporate governance matters.
  • Coordinate board meetings, agendas, materials, minutes, resolutions, scripts, and annual stockholder meetings.
  • Support debt and equity financings and other capital markets transactions.
  • Lead cross-functional projects and coordinate outside counsel as needed.

Requirements

  • Juris Doctor degree from an ABA-approved institution.
  • Admission to at least one state bar and good standing.
  • 7+ years of relevant legal experience in securities laws, SEC reporting, compliance, and corporate governance, including at least 3 years at a leading U.S. law firm.
  • Experience with public company readiness, including IPOs, de-SPAC transactions, business combinations, or newly public company reporting programs.
  • Experience drafting or coordinating Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and earnings releases.
  • Strong knowledge of SEC regulations, securities laws, Section 16, and stock exchange listing standards.
  • Experience supporting boards and committees, including preparing materials, minutes, resolutions, and annual meeting processes.
  • Experience with debt or equity capital markets transactions preferred.
  • Strong written and verbal communication skills with executives, directors, auditors, and outside counsel.
  • Ability to exercise independent judgment, work autonomously, and adapt in a fast-paced, evolving environment; digital assets, energy, power, infrastructure, or data center experience is a plus.
